Client Terms

These are the terms for business customers buying Diffls website services for business purposes. They are written to be read, not to impress other lawyers. If anything here is unclear, ask before agreeing.
1. Who we are
Diffls is operated by DIFFLS LTD (company number 16285040), registered in England and Wales. Registered office: Office 5889, 58 Peregrine Road, Ilford, England IG6 3SZ. Contact: hello@diffls.com.
2. Who these terms are for
These terms are for customers buying the service for their trade, business or profession. Diffls does not market the service as a personal or consumer website product. If you are buying as a consumer, tell us first so the position on statutory rights can be confirmed.
3. How a project starts
You send an enquiry, we discuss what your business needs, and we agree a short written summary of the website before building starts. That summary normally lists the pages, the main features, and anything that is explicitly outside the standard scope. If we later agree changes, they form part of the summary.
4. The build-first model
Diffls builds the working website before asking for payment. You review the real site, then decide. There is no deposit and nothing to pay unless you accept the site.
5. What £499 covers
The £499 one-off price covers a normal small-business informational website, including:
- design and development of the agreed website,
- up to 5 substantive pages,
- responsive and mobile-friendly design,
- contact or quote enquiry capability,
- sensible page titles and basic search-engine setup,
- connection to a customer-controlled domain,
- reasonable formatting and editing of business information you supply,
- deployment and handover under the agreed launch arrangement.
A page means a distinct public content route such as Home, Services, About, Gallery or Contact. Site-wide elements such as the header, footer, navigation and error pages do not count as separate pages.
6. What is outside the standard scope
The standard price does not automatically include:
- online shops, payments or customer accounts,
- complex booking systems or custom web applications,
- membership systems or multilingual sites,
- bespoke logo or brand-identity design,
- professional photography or paid stock assets,
- paid third-party software or complex integrations,
- extensive copywriting from scratch,
- ongoing content entry, maintenance or hosting support.
Anything in this list can be declined by Diffls or quoted separately before it is added. Not every conceivable five-page website costs £499 regardless of functionality.
7. Your responsibilities
You are responsible for:
- making sure you have the right to use the logos, photos, trademarks and text you supply,
- confirming factual business claims before launch,
- providing content and decisions promptly so the project can move.
Diffls may edit and structure what you supply but will not knowingly publish unlawful or infringing material.
8. Review and one refinement round
The £499 offer includes one consolidated round of reasonable refinements: corrections and sensible adjustments to the agreed website, gathered into a single round where practical.
It does not include:
- turning the project into a different website,
- adding pages or features outside the agreed scope,
- unlimited redesign rounds.
Anything materially outside scope must be agreed separately before work on it proceeds.
9. Acceptance and payment
If you accept the site, £499 becomes due before production go-live on your domain, final source-code handover, or transfer of production control, whichever comes first. Payment details appear on the invoice or secure payment request. The working model stays simple: see it, decide, pay.
10. If you say no
If you decline the speculative website, you owe nothing. It does not go live, you receive no right to use the unpaid implementation, and Diffls may disable or delete the preview. Diffls is not obliged to preserve a rejected draft indefinitely.
11. Domains and third-party costs
Your domain should sit in an account you control wherever practical. Diffls can help with registration, DNS, connection and launch, but will not deliberately hold your primary domain hostage in a Diffls-only account. Renewal charges stay your responsibility unless separately agreed.
The £499 does not include third-party fees such as domain purchase or renewal, paid hosting, paid email, premium plugins, paid fonts, paid stock media, or booking and payment providers, unless explicitly stated. You must approve such costs before they are incurred.
12. Hosting and ongoing support
The hosting arrangement is agreed before launch. The £499does not create an indefinite hosting or support obligation. Your site may be deployed to an agreed suitable provider, and any third-party hosting fees are separate. Ongoing maintenance and support are optional and must be agreed separately. Diffls does not currently advertise an ongoing care plan.
13. Intellectual property and source files
Before payment:
- you keep ownership of your own logos, photos, text and other supplied materials,
- Diffls keeps the speculative website implementation and design it created,
- you may review the preview but may not copy it or use it as a live website.
After full payment:
- you receive the final website source and files where practical,
- you get a perpetual right to use, host, modify and move the final website for your business,
- you keep your own supplied content,
- Diffls keeps its pre-existing tools, utilities, frameworks, reusable components and know-how.
Nothing here claims that third-party open-source software used in the site becomes your property. Its own licences continue to apply.
14. Portfolio use
For accepted and paid projects, Diffls may show the finished public website as portfolio work unless you ask in writing not to. For rejected or unpaid speculative work, Diffls will not publicly show your identifiable branding or content as an example without your permission. Generic reusable patterns may still be reused without your confidential or identifiable content.
15. Third-party services
Websites depend on third-party platforms such as hosting, domain, email and map providers. Those platforms can change, break or go down outside Diffls control, and Diffls is not responsible for their outages or changes.
16. Delays caused by missing information
Timing depends on receiving your content and decisions. If the project waits on you, Diffls will say so plainly and the schedule moves accordingly.
17. Ending a project
Either side can end a project with a clear written message. Work already accepted and paid for stands under these terms. Unpaid speculative work follows the rejection rules above: nothing is owed, nothing goes live, and no usage rights transfer.
18. Liability
Nothing in these terms limits liability that cannot legally be limited, such as liability for fraud or for death or personal injury caused by negligence.
Subject to that, Diffls is not liable for indirect or consequential business loss, such as lost profits or lost business, to the extent the law allows that exclusion. Ordinary contractual liability for a project is capped at the total amount paid for that project, unless a higher mandatory liability applies.
19. Complaints
If something is wrong, email hello@diffls.com with what happened and what would put it right. Diffls will acknowledge the complaint and work through it in good faith.
20. Governing law
These terms are governed by the laws of England and Wales. For business-to-business disputes, the courts of England and Wales have jurisdiction.
21. Changes to these terms
The version in force when your project is agreed is the version that applies to it. If these terms change materially later, the new version applies to new projects, not retroactively to agreed work.
